Overview

The Global Governance Manager supports the development, coordination, and continuous improvement of Werfen’s global corporate governance framework. This role contributes to ensuring alignment between ethics, culture, and operational accountability across the organization. Responsibilities include coordinating compliance governance activities, supporting tone‑from‑the‑top/middle initiatives, assisting with culture assessments, maintaining governance structures, and supporting board‑level reporting.

This role partners closely with senior leaders, compliance and legal teams, people teams, and other key stakeholders globally. The Global Governance Manager assists assists in defining governance metrics, monitoring risk‑related activities, supporting digital controls oversight, and driving consistency through training, communication, and certification efforts.

The position is based at Werfen’s global headquarters in Barcelona, Spain, and reports to the Global Governance & Engagement Compliance Officer

 

Responsibilities

Key Accountabilities

  • Tone from the Top/Middle: Support initiatives that promote leadership behaviors and communications, reinforcing ethics, compliance, and accountability.
  • Ethics Integration: Contribute to embedding ethics into decision‑making and leadership development processes.
  • Culture Assessment: Support culture assessment execution and analysis.
  • Governance Structure: Assist in maintaining roles and escalation pathways.
  • Policies & Procedures: Support maintenance of the global policy framework.
  • Board Reporting: Assist in preparing governance update materials.
  • KPI Definition: Support tracking and reporting of governance KPIs.
  • Communication & Training: Support governance training and communications.
  • Recognition Programs: Assist in recognition program coordination.
  • Compliance Certification: Coordinate certification processes.
  • Risk Assessment: Support risk assessment processes.
  • Digital Controls Oversight: Support monitoring of governance digital systems.

Qualifications

Minimum Knowledge & Experience required for the position:

  • University degree in Law, Compliance, Ethics, Business Administration, Organizational Development, or related field
  • Minimum 5 years of experience in governance, ethics, or compliance, including in global/regional roles
  • Deep understanding of governance models, enterprise ethics programs, risk assessment, and organizational culture dynamics
  • Strong writing, reporting, and presentation skills
  • Ability to influence and engage employees across cultural and functional boundaries
  • Experience working with senior leaders and governance bodies
  • Familiarity with digital compliance tools and data-based decision making
  • Full professional proficiency in English; additional languages (e.g., Spanish, French) are a plus

  • Strong governance expertise, with the ability to translate corporate governance principles, ethical expectations, and regulatory trends into practical guidance and support for global functions and regions.
  • Clear and persuasive communication skills, capable of distilling complex governance topics, risk insights, and culture trends into concise, actionable messages for senior leadership and cross-functional stakeholders.
  • Sound judgment and high integrity, particularly in evaluating governance impacts, handling sensitive ethical matters, and navigating nuanced escalation pathways.
  • Analytical mindset applied to governance, able to interpret data from culture assessments, KPIs, risk assessment, and governance system outputs to identify gaps, synthesize insights, and guide program improvements.
  • Fluency with governance systems and digital controls, including policy management platforms, whistleblower tools, certification trackers, and governance analytics, ensuring consistency, oversight, and reliable reporting.
  • Cross-functional coordination and execution skills, enabling effective alignment across Compliance, Legal, People, Internal Audit, and regional teams, and supporting the implementation of governance initiatives in a global, matrixed environment.
  • Cultural sensitivity and ethical leadership, fostering trust, transparency, and engagement across diverse geographies, and modeling behaviors that reinforce Werfen’s governance and ethical expectations.
  • Adaptability and prioritization, able to operate effectively in dynamic environments, balance governance rigor with business realities, and manage multiple governance workstreams with focus and accountability.

Travel requirements:

Up to 20% domestic and international travel when required.

People Manager Accountabilities:

Effectively carries out the expectations of Werfen People Managers as defined in Werfen’s Role of the Manager program. Among others this includes maintaining regular, at minimum once a month, and transparent communication with the team through effective use of formal one-on-one meetings with direct reports and team meets. Managing performance issues and conflict proactively; uses judgement in consulting with department leadership and Human Resources. Responsibility for the team´s compliance in terms of training, and fulfilment of their tasks and objectives as well as onboarding of new employees and development of the existing team.

Work Environment (US only):

The employee will be required to stand and/or walk up to 8 hours per day and/or sit for up to 8 hours per day.  Must be able to use hands to feel objects, including keyboard, telephone and other equipment.  May need to reach with hands and arms, climb stairs, balance, stoop, kneel or crouch. Will be required to talk and hear and have specific vision abilities, including close vision, distance vision, color vision, peripheral vision, depth perception and ability to adjust focus. May occasionally have to lift and/or move up to 25 pounds.  The noise level in the work environment will vary but is usually moderate.  This position is very active and requires varying levels of mobility.
